Agreement to Our Legal Terms
These Terms and Conditions (“Legal Terms”) constitute a legally binding agreement between you (“you” or “Client”), whether personally or on behalf of an entity, and Once Digital Group (“Company,” “we,” “us,” or “our”).

By accessing our website or using our services (the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Legal Terms.
IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.
The Services are intended for individuals 18 years of age or older.
1. Our Services
Once Digital Group provides digital marketing and content creation services for businesses operating in the United States. Services may include, but are not limited to:
Content creation (video, graphic, and written content)
Social media marketing and management
Paid advertising strategy and execution on Meta platforms
Campaign setup, monitoring, and optimization
Marketing strategy, reporting, and consulting
Specific services, deliverables, timelines, and pricing are defined in a separate proposal, invoice, statement of work (SOW), or service agreement (“Project Agreement”). In the event of a conflict, the Project Agreement controls.
2. Subscription Model, Prepayment & Automatic Renewal (Two-Month Billing Cycle)
2.1 Prepaid Service Term
Once Digital Group operates on a prepaid subscription basis. All Services are billed in advance for a fixed two (2) month service period (“Service Term”). By subscribing, you agree to pay the full subscription fee before Services begin.
2.2 Automatic Renewal
Unless properly canceled in accordance with these Legal Terms, your subscription will automatically renew every two (2) months, and your payment method will be charged at the start of each new Service Term.
2.3 Authorization for Recurring Charges
By enrolling, you authorize Once Digital Group and its third-party payment processor (including Stripe) to automatically charge your designated payment method for:
Subscription fees
Applicable taxes
Any approved add-ons or out-of-scope services
This authorization remains in effect until cancellation is properly completed.
3. Payment Processing & Failed Payments
Payments are processed through third-party providers, including Stripe. Once Digital Group does not store or process full credit or debit card information.
If a payment fails, is declined, or expires, we may:
Reattempt the charge
Request updated payment information
Pause or suspend Services until payment is successfully completed
Unresolved payment failures may result in service suspension or termination.
4. Cancellation Policy
You may cancel your subscription by emailing support@oncedigitalgroup.com with the subject line “Cancel Subscription”.
To avoid the next renewal charge, cancellation must be received at least five (5) business days before the start of the next Service Term.
Cancellations submitted after this period may result in the next charge being processed, and Services will remain available through the paid Service Term.
5. No Refund Policy
Due to the customized nature of our Services—including strategy development, content creation, campaign configuration, and allocation of production resources—all payments are non-refundable once the Service Term begins, except where required by applicable law.
Failure to fully utilize the Services during the Service Term does not constitute grounds for a refund.
6. Execution-Based Service Commitment & Results Disclaimer
6.1 Execution Commitment
Once Digital Group guarantees professional execution of the Services outlined in the agreed scope, including content creation, campaign setup, optimization efforts, and strategic marketing actions during the Service Term.
6.2 No Guaranteed Results
You acknowledge and agree that marketing and advertising results depend on multiple factors outside our control, including but not limited to market conditions, competition, platform algorithms, audience behavior, budget levels, offer quality, and account history.
Accordingly, Once Digital Group does not guarantee specific results, including sales, leads, conversions, revenue, return on ad spend (ROAS), or business growth.
7. Good-Faith Optimization
During the Service Term, Once Digital Group will apply commercially reasonable efforts and industry-standard practices to optimize content and advertising performance based on available data, platform signals, and strategic analysis.
Optimization decisions are made in good faith and do not constitute a promise of outcomes.
8. Client Responsibilities
You remain solely responsible for:
Final approvals of content and campaigns
Business decisions, pricing, and offers
Advertising budgets and third-party ad spend
Compliance with platform policies and applicable laws
Delays in approvals or missing information may affect performance and delivery timelines.
9. Intellectual Property
You retain ownership of all pre-existing brand assets and materials provided to us. You grant Once Digital Group a limited license to use such materials solely to perform the Services.
Unless otherwise stated in writing, upon full payment you own the final delivered creative assets. Once Digital Group retains ownership of internal processes, templates, systems, methodologies, and know-how.
10. Portfolio Use
Unless you request confidentiality in writing, you grant Once Digital Group permission to display non-confidential work samples for portfolio and marketing purposes.
11. Prohibited Uses
You agree not to use the Services for unlawful purposes, intellectual property infringement, misleading advertising, harassment, spam, or attempts to compromise systems or accounts.
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONCE DIGITAL GROUP SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ONCE DIGITAL GROUP DURING THE TWO (2) MONTH SERVICE TERM IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $500 USD, WHICHEVER IS GREATER.
14. Indemnification
You agree to indemnify and hold harmless Once Digital Group from any claims, damages, losses, or expenses arising from your use of the Services, your content, your advertising activities, or your violation of these Legal Terms.
15. Governing Law & Dispute Resolution
These Legal Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
The parties agree to attempt informal resolution before pursuing legal action. Any dispute shall be brought in the state or federal courts located in Wyoming, unless otherwise required by law.
16. Changes to These Legal Terms
We may update these Legal Terms at any time. Updates will be posted with a revised “Last updated” date. Continued use of the Services constitutes acceptance of the updated terms.
